To the extent Customer (“you”) use any artificial intelligence (“AI”) feature in the Software, you are responsible for ensuring that such use does not violate applicable law or infringe upon any third party’s intellectual property rights, right of publicity, moral rights, or privacy rights, and that you have provided all required notices and obtained all required consents in connection with the use of such AI. This Celoxis AI Addendum is a part of EULA available at https://www.celoxis.com/EULA along with Privacy Policy of Celoxis available at https://www.celoxis.com/privacy-policy.
Celoxis may use AI while rendering the services for the content and outputs of our Platform, services (Deliverables).
1. USE OF CELOXIS PLATFORM:
By using our Platform, you are agreeing to our use of AI and accept that we cannot guarantee the accuracy of our AI-generated Deliverables. If you do not agree, we would recommend you to not use the AI-generated content or AI-capable functions in our Platform.
2. USE OF AI/AI TOOLS
Celoxis recommend you exercise caution and judgement when using any AI technology that is integrated with our Platform and should not rely solely on it for your decisions, especially if such decisions may pose a risk to human health and safety or financial loss. You are responsible for independently verifying the information supplied to and generated by AI and ensuring its accuracy and suitability for your purposes. You hereby agree to use any AI-generated Deliverables responsibly and at your own risk. Celoxis AI is currently available without any additional cost, however, the use of the Celoxis AI shall be subject to additional pricing as and when applicable.
3. DATA PROCESSING
To the extent Customer Data provided as input to Celoxis Platform contains Personal Data, you instruct Celoxis to process the Personal Data for the additional purpose of providing the Celoxis AI tools.
4. DISCLAIMER
CELOXIS DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS REGARDING CELOXIS AI, ANY DELIVERABLES OR INFORMATION CREATED USING CELOXIS AI, AND/OR THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF CELOXIS AI AND/OR CELOXIS AI OUTPUT. CELOXIS DOES NOT WARRANT OR REPRESENT THAT CELOXIS AI AND/OR SUCH RESULT OR INFORMATION WILL BE UNINTERRUPTED, ERROR OR BUG FREE, NON-OFFENSIVE, NON-INFRINGING, NON-HARMFUL, ACCURATE, LAWFUL, OR APPROPRIATE. USE OF CELOXIS AI IS MADE AT YOUR OWN RISK. CELOXIS AI IS PROVIDED “AS IS”, “WITH ALL FAULTS”, AND “AS AVAILABLE”, WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED AND CELOXIS EXPRESSLY DISCLAIMS ALL SUCH WARRANTIES OR REPRESENTATIONS, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OR REPRESENTATIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUALITY, COMPLETENESS, NON-INFRINGEMENT, RELIABILITY, AVAILABILITY AND PERFORMANCE.
Any indemnification obligation of Celoxis to you under EULA shall not apply to claims arising from or relating to Celoxis AI. You shall indemnify, defend, and hold Celoxis, its affiliates, and its respective officers, directors, employees, members, investors, contractors, and representatives harmless against any and all claims arising from or relating to your or your Users’ use of Celoxis AI contrary to these Celoxis AI Addendum. You shall pay any resulting judgment, or settlement, and all costs, including all reasonable attorney’s fees, and expenses related thereto.
5. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CELOXIS, ITS AFFILIATES, OR ANY THIRD PARTY PROVIDER BE LIABLE FOR ANY LOST PROFITS, LOSS OF DATA, OR FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES HOWEVER ARISING UNDER CELOXIS AT ADDENDUM AND, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT THE PARTY FROM WHICH DAMAGES ARE BEING SOUGHT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, CELOXIS’S TOTAL AGGREGATE LIABILITY FOR ALL DAMAGES AND LOSSES UNDER THIS CELOXIS AI ADDENDUM WILL NOT EXCEED 100 U.S. DOLLARS.
6. Term, Termination, and Survival.
This Celoxis AI Addendum is coterminous with the EULA. Sections 1, 2, 3, 4, 5, and 6 shall survive any termination. Celoxis may terminate Celoxis AI, or any part thereof, at its sole discretion and without liability to You.
7. AI PROVIDER POLICIES.
Celoxis uses AI Services of certain AI Providers to provide certain generative AI features and functionality of Celoxis AI. You shall not use Celoxis AI in a manner that violates any Service policies and terms of the said AI Service Providers of Celoxis, the detailed list of which is available at https://www.celoxis.com/ai-providers. You hereby agree and acknowledged that you have read all the terms and conditions of the said AI Service Providers and hereby agree and accept the same. Celoxis reserves the right to engage various AI Service Providers from time to time without giving you any notice of the same.
